  • Engaging in chargebacks or payment disputes in bad faith or without a legitimate basis.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these prohibitions, including reporting such conduct to law enforcement authorities.

5. Intellectual Property Rights

6. Online Ordering and Payment Terms

6.1 Ordering Process

When you place an order through the Site, you are making an offer to purchase food and beverages subject to these Terms and any additional terms presented at checkout. We reserve the right to accept or decline any order at our sole discretion. An order is confirmed only when you receive a confirmation email or notification from us.

Menu item availability may vary by location and time. We reserve the right to modify, discontinue, or substitute any menu item without prior notice. In the event that a menu item you ordered is unavailable, we will notify you and offer a suitable alternative or a full refund for that item.

6.2 Pricing

All prices listed on the Site are in United States Dollars (USD) and are subject to change without notice. Prices do not include applicable sales taxes, delivery fees, service charges, or gratuities unless expressly stated. The applicable tax rate will be calculated based on your delivery or pickup location in accordance with applicable state and local tax laws.

We strive to ensure that all pricing information on the Site is accurate; however, errors may occasionally occur. If we discover a pricing error after you have placed an order, we will notify you and offer you the option to confirm your order at the correct price or cancel it for a full refund.

By providing payment information, you represent and warrant that you are authorized to use the designated payment method and authorize us to charge your payment method for all purchases made through your account.

6.4 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once an order has been prepared. We will review your complaint and, at our discretion, offer a replacement, store credit, or refund. Cancellations may only be accepted if the order has not yet entered the preparation stage.

Delays may occur due to high order volume, traffic, weather conditions, or other factors beyond our control. Pequod's Pizza shall not be liable for any delay in delivery.

If a delivery is unsuccessful due to an incorrect address, inaccessible location, or failure to be present at the time of delivery, we may not be able to offer a refund. Delivery drivers reserve the right to decline delivery in situations that pose a safety risk.

11. Limitation of Liability

In no event shall Pequod's Pizza's total cumulative liability to you for all claims arising out of or related to these Terms or the Services exceed the greater of: (a) the total amount you paid to Pequod's Pizza in the six (6) months immediately preceding the claim giving rise to liability, or (b) one hundred United States Dollars ($100.00 USD).

The limitations of liability set forth in this Section reflect a reasonable allocation of risk and form an essential basis of the bargain between you and Pequod's Pizza. These limitations shall apply regardless of the legal theory underlying any claim, whether in contract, tort (including negligence), strict liability, or any other theory.

Some states, including New Jersey and Massachusetts, do not allow certain limitations of liability for consumers. If you reside in such a state, some of the above limitations may not apply to you to the extent prohibited by applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Pequod's Pizza and its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms of Service.
  • Your use of the Site or Services in a manner not authorized by these Terms.
  • Your violation of any applicable law, regulation, or third-party rights, including intellectual property rights or privacy rights.
  • Any false, inaccurate, or misleading information you provide to us.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with our defense of such claim.

13. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the laws of the state in which Pequod's Pizza's primary place of business is located, without regard to any conflict of law provisions.

To the extent that any dispute is not subject to mandatory arbitration as set forth in Section 14 below, you agree to submit to the exclusive personal jurisdiction of the federal and state courts located in the applicable jurisdiction, and you waive any objection to the laying of venue in such courts.

Our Services are designed for use within the United States. We make no representation that the Site or Services are appropriate or available for use in other locations. Those who choose to access the Site from outside the United States do so on their own initiative and are responsible for compliance with applicable local laws.

These Terms are subject to federal consumer protection laws including the Federal Trade Commission Act (15 U.S.C. § 45 et seq.) and, where applicable to California residents, the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA). Where applicable, California residents may also have additional rights under the California Consumers Legal Remedies Act (CLRA) and California's Unfair Competition Law (UCL).

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Pequod's Pizza at [email protected] and attempt to resolve the dispute informally. We will make reasonable efforts to resolve the dispute within thirty (30) calendar days of receiving your notice. If we are unable to resolve the dispute informally within that period, either party may proceed to formal dispute resolution as described below.

14.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for disputes that qualify for small claims court, and except as otherwise provided herein, you and Pequod's Pizza agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration will be conducted in English, and the arbitrator's decision shall be final and binding.

The arbitrator shall have the authority to award any relief that a court could award, but the arbitrator's decision and award shall be limited to individual relief only. The arbitrator's award may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm pending resolution of a dispute through arbitration. Nothing in this Section shall prevent either party from pursuing claims in small claims court for disputes within the jurisdictional limits of such court.

15. Account Registration and Termination

15.1 Account Registration

To access certain features of the Site, you may be required to create an account. You agree to provide accurate and complete registration information and to keep your account information up to date. You are solely responsible for all activities that occur under your account. You may not share your account credentials with any third party.

15.2 Termination by You

You may deactivate your account and discontinue use of the Services at any time by contacting us at [email protected]. Termination of your account does not affect any obligations that arose prior to termination, including outstanding payment obligations.

15.3 Termination by Us

We reserve the right to suspend or terminate your account, or restrict your access to any portion of the Site or Services, at any time and without prior notice, for any reason, including but not limited to:

  • Violation of these Terms or any applicable law.
  • Fraudulent, abusive, or harmful behavior.
  • Requests from law enforcement or government authorities.
  • Discontinuation or material modification of the Services.
  • Technical or security issues or problems.
  • Extended periods of account inactivity.

Upon termination, your right to use the Site and Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including without limitation, intellectual property provisions, warranties, indemnification, limitation of liability, and dispute resolution.

17. Promotional Offers and Loyalty Programs

From time to time, Pequod's Pizza may offer promotional discounts, coupon codes, loyalty rewards, or special offers. All promotional offers are subject to the specific terms and conditions presented with each offer, which are incorporated by reference into these Terms. Unless otherwise specified:

  • Promotional offers are non-transferable, have no cash value, and may not be combined with other offers.

  • Misuse or fraudulent redemption of promotional codes may result in order cancellation and account suspension.

20. Force Majeure

Pequod's Pizza shall not be liable for any failure or delay in the performance of its obligations under these Terms arising out of or caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government orders or regulations, labor strikes, power failures, internet disruptions, supply chain disruptions, fire, flood, civil unrest, or war (each, a "Force Majeure Event").

In the event of a Force Majeure Event, we will notify you as soon as reasonably practicable and will make reasonable efforts to resume normal operations as quickly as possible. During a Force Majeure Event, we may suspend or cancel orders with a full refund and shall have no liability for any resulting loss, damage, or inconvenience.

21. Severability

If any provision of these Terms of Service is found by a court of competent jurisdiction, or by an arbitrator, to be unlawful, void, invalid, or unenforceable for any reason, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity and enforceability of the remaining provisions, which shall remain in full force and effect. The parties agree that the court or arbitrator shall give effect to their intentions as reflected in the provision to the extent possible.

22. Waiver

No waiver by Pequod's Pizza of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Pequod's Pizza to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. A waiver of any default shall not constitute a waiver of any subsequent default.

23. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices, policies, or guidelines published by Pequod's Pizza on the Site, constitute the entire agreement between you and Pequod's Pizza with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, warranties, and negotiations, whether written or oral, with respect to such subject matter.

No oral or written information or advice given by Pequod's Pizza, its employees, or agents shall create a warranty or in any way increase the scope of Pequod's Pizza's obligations under these Terms.

24. Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this provision shall be null and void. Pequod's Pizza may freely assign or transfer these Terms or any of its rights or obligations hereunder without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
